1. Scope of Services
Scalexone provides a suite of 10 core services, including Web Design, UI/UX, Social Media Management, PPC, Social Ads, SEO, Brand Building, Email Marketing, Digital Marketing, and Video Editing. The specific deliverables for your project will be outlined in your individual Statement of Work (SOW).
2. Our Commitment
With an in-house team of 40+ experts, we commit to a Results-Oriented approach. We utilize our Proven DFY Content Funnel and Personalized CRM to ensure high-level execution. While we strive for perfection, marketing involves variables beyond our control (such as platform algorithm changes); therefore, specific results like “viral” status or #1 rankings are targets, not guarantees.
3. Client Responsibilities
To hit our deadlines, we need your help. You agree to:
- Provide all necessary brand assets, information, and feedback in a timely manner.
- Ensure all content provided to us does not infringe on any third-party intellectual property rights.
- Maintain active communication through our 24/7 Support channels or your assigned account lead.
4. Payment Terms
- Fees: Services are billed as either fixed-project fees or monthly retainers.
- Timelines: Payments are due upon receipt of invoice unless otherwise agreed.
- Late Payments: We reserve the right to pause all work—including active ad campaigns—if accounts remain unpaid past the due date. This is to protect our team’s resources and your campaign’s integrity.
5. Intellectual Property
- Your Materials: You retain all rights to the information and files you provide to us.
- Our Work: Upon final payment, the ownership of the final “deliverable” (the website, the video, the ad copy) transfers to you.
- Internal Tools: Scalexone retains ownership of its proprietary processes, funnel structures, and internal strategy documents used to create your results.
6. Confidentiality
We take your business secrets seriously. Both parties agree to keep proprietary information—including marketing strategies, lead data, and internal pricing—strictly confidential. We are in this together.
7. Termination
- Project-Based: Either party may terminate the agreement if the other party breaches these terms.
- Monthly Retainers: As noted in our Refund Policy, we require a 30-day written notice to terminate ongoing monthly services. This ensures a smooth transition and proper data handover.
8. Limitation of Liability
Scalexone will work tirelessly to protect your brand. However, we are not liable for any indirect, incidental, or consequential damages (such as loss of profits) resulting from the use of our services or third-party platform outages (e.g., Facebook or Google going down).
9. Governing Law
These terms are governed by the laws of the jurisdiction in which Scalexone is registered. Any disputes will be settled through professional mediation before pursuing legal action.
